Terms of Service

These Terms of Service ("Terms") govern your use of StatementDue ("the Service"), operated by FormRoute LLC ("we," "us"). By placing an order or using this website, you agree to these Terms.

1. What we are — and are not

StatementDue is a private document-preparation and filing service. We prepare and submit California Statement of Information filings (Forms SI-550 and LLC-12) using information you provide. We are not a government agency, are not affiliated with the California Secretary of State, and are not a law firm. We do not provide legal, tax, or professional advice. You can always file directly with the California Secretary of State at bizfileonline.sos.ca.gov and pay only the state fee.

2. Your responsibilities

• You confirm that you are authorized to submit a Statement of Information for the entity in your order.
• You are solely responsible for the accuracy and completeness of the information you provide. We transcribe your information onto the official form; we do not verify it beyond basic formatting checks.
• You are responsible for providing a working email address so we can deliver confirmations and copies.

3. Our service

• We prepare the applicable official form and submit it to the California Secretary of State, typically within one (1) business day of receiving your completed order.
• The state filing fee you pay at checkout is remitted to the Secretary of State with your filing.
• We will email you a copy of the prepared form and confirmation of submission.
• If the Secretary of State rejects a filing due to an error caused by us, we will correct and resubmit it at no additional charge, including any re-filing fee.
• Submission times and state processing times are outside our control once a filing is delivered to the state.

4. Refunds

You may cancel for a full refund any time before we submit your filing to the state. Once a filing has been submitted, the state fee is non-refundable; we will refund our service fee if we failed to perform the service as described.

5. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the greater of (a) the amount you paid us for the order giving rise to the claim, or (b) $250. We are not liable for indirect, incidental, consequential, or punitive damages, or for penalties, suspensions, or losses resulting from inaccurate or incomplete information you provided, from state processing delays, or from events outside our reasonable control.

6. Deadline reminders

Free deadline reminders are provided as a courtesy based on public records and the information you provide. While we work hard to send them accurately, reminders are not guaranteed, and responsibility for meeting statutory deadlines remains with the entity.

7. Privacy

Our Privacy Policy describes what we collect and how we use it. Note that the contents of a filed Statement of Information become public record with the State of California regardless of how it is filed.

8. Changes; governing law

We may update these Terms by posting a revised version with a new "Last updated" date. These Terms are governed by the laws of the State of California. Contact: support@statementdue.com.
